Fortenova Group consists of Fortenova grupa d.d. and its subsidiaries.

Fortenova grupa d.d.’s corporate governance structure consists of the General Assembly and the Board of Directors. The General Assembly is held at least once a year and whenever the interests of the company require it. Board of Directors deals with strategic matters of running the company and other matters falling under their competence and consists of five or seven members, in accordance with the decision of the General Assembly. Of the currently elected/appointed six members, four are non-executive members and two are executive members.

Executive Directors represent the company and manage the company’s affairs.

Fabris Peruško has been a member of the Board since April 1, 2019, and the Chief Executive Officer of Fortenova Group, which was formed as a result of the extraordinary management and settlement of Agrokor’s creditors

Peruško joined the then Agrokor immediately after the initiation of the extraordinary management procedure in May 2017, as a member of the board of Tisak for Finance and Restructuring of that Croatian national kiosk chain.

In February 2018, Peruško took over the position of Extraordinary Commissioner of the Agrokor Group, and in July 2018, with more than 5,700 creditors, it concluded negotiations worth 7.7 billion euros, which led to a vote on the settlement of Agrokor’s creditors.

After the implementation of the settlement, Fortenova’s group was formed, and Peruško took over its management, continuing to implement key business restructuring projects aimed at increasing the profitability and efficiency of the system. At the same time, in September 2019, Fortenova’s group successfully refinanced, 1.15 billion euros of debt.

The project of financial restructuring of Agrokor through extraordinary management as the most successful in the world in 2018 received the Turnaround and Transaction Award (TMA) award. It is one of the world’s most important professional awards given by experts involved in restructuring projects in the world.

In addition to operating the company, Peruško in the Fortenova Group has initiated and is leading the implementation of an improved model of corporate governance in the system, and increasing the quality and transparency of corporate governance and improving professional and ethical standards in the Fortenova Group.

Prior to joining Agrokor, Peruško was the operations director of Lamoda.ru, the CIS subsidiary of the London-based Global Fashion Group (GFG), where he led the transformation of the company’s business model. He also spent five years at the world’s leading consulting firm McKinsey & Co., working on restructuring projects.

Fabris Peruško holds a bachelor’s degree in electrical engineering and a master’s degree in economics from the University of Ljubljana, Slovenia. He also earned an MBA from Babson College in Boston, USA. In addition to his native Croatian, Fabris speaks English, Slovenian and Italian.

Damir Spudić was appointed CFO in September 2024 and he is also an Executive Member of the Fortenova Group’s Board of Directors.

For three previous years he held the position of Non-Executive Member of the Board of Directors and in this period he was also Board Member and Chief Financial Officer of the company Energia naturalis (ENNA) and Chief Financial Officer of the ENNA Group. He is also a Member of the Supervisory Board of Pevex d.d. and Deputy Chairman of the Supervisory Board of the company ENNA Fruit d.o.o.

He was as well Member of the Supervisory Board of Luka Ploče d.d. (Port of Ploče) and participated in the financial stabilisation and successful restructuring of Petrokemija d.d.

He started his career at Hypo Alpe-Adria-Bank in 2005 and in 2010 became its Area Director of Sales responsible for the overall sales results in the region of Slavonia. He joined the ENNA Group in 2012.

He holds a Master’s Degree in economics from the J.J. Strossmayer University of Osijek and currently attends doctoral studies of economics and global security at the Zagreb Faculty of Economics.
